All conditions and warranties which are to be implied by statute or otherwise by general law into any agreement formed pursuant to these Terms and Conditions of Use are hereby excluded to the maximum extent permissible in law.

The following provisions in this paragraph 10 set out RSY’s entire liability (including any liability for the acts and omissions of its employees, agents or sub-contractors) in respect of:

• a breach of RSY's contractual obligations;
• a tortious act or omission for which RSY's is liable;
• an action arising out of a misrepresentation by or on behalf of RSY;

arising in connection with the performance of any agreement formed pursuant to these Terms and Conditions of Use.

The liability of RSY in respect of any one claim or series of claims arising out of the same incident shall not exceed the sum of two hundred and fifty thousand pounds (£250,000.00) and the aggregate liability of RSY under or in connection with the use of the Site by you in respect of all claims shall not exceed the sum of five hundred thousand pounds (£500,000.00).

In no event shall RSY be liable to you or any other party for any loss of profits, loss of opportunity, loss of contract, loss of business, loss of goodwill or anticipated savings or like consequential loss.

In no event shall RSY be liable for any indirect, incidental, consequential or pure economic loss or damage including, but not limited to, loss of or damage to data, loss of anticipated revenue or profits, costs of standstill or delay, whether or not foreseeable and whether or not RSY has been advised of the possibility of such damages.

RSY shall in no circumstances be liable for any loss of data and you shall at all times keep adequate back-up copies of the data and programs held or used by you and of any information and material posted by you on the Site.

RSY shall in no circumstances be liable for any loss caused by this Site being unavailable, howsoever arising. RSY makes no guarantee of the connection speed to this Site.

Notwithstanding anything to the contrary contained in these Terms and Conditions, RSY does not limit its liability to you and you do not limit your liability to RSY for:

• death or personal injury resulting from negligence;
• damage suffered by the other party as a result of a breach of the condition as to title or the warranty as to quiet possession implied by Section 12 of the Sale of Goods Act 1979 or Section 2 of the Supply of Goods and Services Act 1982;
• damage for which a party is liable under Part I of the Consumer Protection Act 1987; or
• fraud (including without limit, fraudulent misrepresentation);

save that nothing in this paragraph 10 shall confer a right or remedy upon a party to which that party would not otherwise be entitled.

The exclusions from and limitations of liability set out in this paragraph 10 shall be considered severably. The validity or unenforceability of any one part of this paragraph 10 shall not affect the validity or enforceability of any other part of this paragraph 10.
